Terms of Service
These terms are between you and Metaworkers, Inc., a Delaware corporation (“we”, “us”). By using our service, creating an account, or adding AI Worker by Metaworkers to your Zoom account, you agree to them. If you agree on behalf of an organisation, you confirm you may bind it. Questions: info@metaworkers.ai.
1. What the service is
Our AI coworkers are software that join a meeting you invite them to, listen, answer when addressed, and make documents from the discussion: Maya on Microsoft Teams and Michael on Zoom. They are software, not people, not employees, and not professional advisers. They always say they are AI.
2. Your responsibility for consent: the most important term
You decide whether an AI coworker joins a meeting, and you are responsible for that decision being lawful. Each time you send or invite one into a meeting, you confirm that:
- you are a participant in that meeting, or are authorised to bring an attendee into it;
- you have obtained any consent the law requires from every participant before it starts listening; and
- you will not use it where you cannot obtain that consent.
Recording and transcription laws differ by place. In some US states one participant’s consent is enough; in others every participant must consent, and recording without it can be a crime. You know who is in your meeting and what they have been told; we do not.
To help, our AI coworkers join under a name that says they are AI, introduce themselves out loud, and say they are AI when asked. On Zoom, Michael hears the meeting only after the host allows recording, and Zoom shows everyone that recording is on. You must not hide, rename or misrepresent an AI coworker. If anyone objects, remove it from the meeting.
3. AI Worker and Michael on Zoom
- Adding AI Worker to Zoom authorizes us to request a Zoom join token on your behalf. Zoom only lets Michael into meetings outside his own account while you are in the meeting, and ends his session when you leave.
- You may remove AI Worker at any time in the Zoom App Marketplace (Manage, then Added Apps, then Remove). We then delete your Zoom data as described in our Privacy Policy.
- Your use of Zoom stays subject to Zoom’s own terms. Zoom is not a party to these terms and is not responsible for our service.
4. Accounts
Keep your password and Zoom account secure; you are responsible for activity under them. Tell us promptly at info@metaworkers.ai if you think either has been compromised. You must be at least 18 and not barred from receiving services under applicable law or sanctions.
5. Minutes, payment and refunds (Maya portal)
- Metering. Maya is sold as prepaid minutes, charged per second while she is admitted to a meeting. Waiting in a lobby is not charged.
- Running out. When your balance reaches zero, she leaves. There is no credit or overdraft.
- Records. Every charge is itemised and available to you. If you think a charge is wrong, write to info@metaworkers.ai within 30 days.
- Payments are handled by Stripe; we never receive your card details.
- Refunds. Unused minutes are refundable within 14 days of purchase. Used minutes are not. Nothing here limits any statutory right you have.
- Prices may change for future purchases, never for minutes you already hold. Taxes are yours unless we must collect them.
6. Your content
You own your content: what is said in your meetings, transcripts of it, and the documents our AI coworkers make for you. You give us only the permission needed to run the service: to process meeting audio, produce transcripts and documents, and keep them for the time set out in the Privacy Policy. We do not use your content to train AI models.
Audio leaves our servers. To understand and reply, meeting audio is sent to our AI provider (OpenAI). This is how the service works and cannot be switched off. If that is unacceptable for a meeting, do not use an AI coworker in it.
7. Acceptable use
Our Acceptable Use Policy is part of these terms. In short: no recording people who have not agreed, no covert surveillance, and no legally privileged or specially protected conversations.
8. What the output is not
AI coworkers make mistakes. They can mishear, misattribute, or state things that were never said. Their summaries, figures and documents are drafts that need human review. They are not legal, financial, medical, tax or employment advice, and are not an authoritative record of what was agreed. Check anything important before you rely on it or send it on.
9. Availability
The service is provided as is and as available. It depends on Microsoft Teams, Zoom and our AI provider, and may be unavailable or degraded for reasons outside our control. We may change, suspend or end features, and will give reasonable notice of material changes where we can.
10. Disclaimers
To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy or completeness of output. We do not warrant that the service is lawful for your particular use; deciding that is your responsibility under section 2.
11. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability arising from the service is limited to the greater of what you paid us in the 3 months before the claim arose and USD 100. Nothing here excludes liability that cannot lawfully be excluded.
12. Indemnity
You will indemnify us against claims, losses and reasonable legal costs arising from your failure to obtain a consent required under section 2, your use of the service against the Acceptable Use Policy or the law, or content you cause our AI coworkers to process or produce. We will tell you promptly of any such claim.
13. Suspension and termination
You may stop using the service at any time, and remove AI Worker from Zoom at any time. We may suspend or end your access straight away if we reasonably believe you are recording people without required consent, breaching the Acceptable Use Policy, exposing us to legal risk, or not paying. Where we can, we will tell you first. Unused minutes are refunded pro rata when we end access for a reason other than your breach.
14. Changes
We may update these terms. For material changes we give 30 days’ notice by email or in the product. Continuing to use the service after that means you accept the change; if you do not, stop using it and ask for a pro-rata refund of unused minutes.
15. Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, except that either party may seek urgent injunctive relief elsewhere.
16. General
These terms, the Acceptable Use Policy and the Privacy Policy are the whole agreement between us. If a provision is unenforceable, the rest stands. Not enforcing a term is not a waiver. You may not assign these terms without our consent; we may assign them in a merger or sale. Neither party is liable for delays caused by events beyond its reasonable control.
